In these Terms and Conditions, the following definitions apply:
APEX is a cloud-based project management platform designed for construction, AV integration, smart building, CCTV, access control and IT projects. The Service includes project management tools, task tracking, Gantt charts, formal notice management, photo reporting, budget tracking, risk registers and AI-powered features.
Access to the Service is provided via a web browser at get-apex.co.uk. The Provider reserves the right to modify, update or discontinue features of the Service with reasonable notice to Customers.
The Service includes AI-powered features including but not limited to: AI Daily Briefing, AI Next Step coaching, AI Schedule, AI-generated reports and AI-drafted formal notices. These features are provided as tools to assist project managers and do not constitute professional advice. The Customer is responsible for reviewing and approving all AI-generated content before use.
The Service is intended for business use. By registering, you confirm that you are acting in the course of business or professional activity, that you are at least 18 years of age, and that you have authority to bind any company or organisation on whose behalf you are registering.
The Customer is responsible for maintaining the confidentiality of login credentials and for all activity that occurs under the account. The Customer must notify the Provider immediately of any unauthorised use of the account.
The Customer agrees to provide accurate, current and complete information during registration. The Provider reserves the right to suspend or terminate accounts where false information is provided.
New Customers are entitled to a 14-day free trial commencing on the date of registration. No payment details are required to begin the trial. At the end of the Trial Period, access will be suspended unless the Customer selects a paid Subscription. Content created during the Trial Period will be retained for 30 days following the end of the Trial Period, after which it may be permanently deleted.
Subscriptions are billed monthly in advance. Payment is processed securely via Stripe. By subscribing, the Customer authorises the Provider to charge the applicable subscription fee on a recurring monthly basis until cancelled.
The Provider reserves the right to change subscription pricing with 30 days' written notice. Continued use after the effective date constitutes acceptance of the new pricing.
All prices are exclusive of VAT. Where applicable, VAT will be added at the prevailing rate.
If payment fails, the Provider will attempt to retry. If payment remains unsuccessful, the Provider reserves the right to suspend access until payment is received.
The Customer may cancel their subscription at any time via Settings > Cancel Plan within the app, or by contacting [email protected]. Cancellation takes effect at the end of the current billing period. Access continues until the end of the paid billing period.
Subscription fees are non-refundable except as set out in clause 6.3.
New paying Customers are entitled to a full refund if they cancel within 30 days of their first payment. To request a refund, contact [email protected] within 30 days of the first payment date.
Following cancellation, Content will be retained for 30 days. The Customer may request a data export by contacting [email protected]. After 30 days, all Content will be permanently deleted.
The Customer agrees not to use the Service:
The Service, including all software, designs, content and trademarks, is owned by or licensed to the Provider. Nothing in these Terms grants the Customer any intellectual property rights in the Service.
The Customer retains ownership of all Content. The Customer grants the Provider a limited licence to store and process such Content solely for the purpose of providing the Service.
The Provider processes personal data in accordance with its Privacy Policy, which forms part of these Terms. Both parties agree to comply with UK GDPR and the Data Protection Act 2018.
To the fullest extent permitted by law, the Provider shall not be liable for loss of profits, loss of data, loss of goodwill, or any indirect or consequential loss, including any loss arising from reliance on AI-generated content without independent review.
The Provider's total aggregate liability shall not exceed the total subscription fees paid by the Customer in the 3 months preceding the event giving rise to the claim.
Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability that cannot be excluded by law.
The Provider warrants that it will provide the Service with reasonable skill and care. The Provider does not warrant that the Service will be uninterrupted or error-free. The Provider does not warrant the accuracy or suitability of any AI-generated content for any particular purpose.
The Provider will use reasonable endeavours to ensure the Service is available 99.5% of the time, excluding scheduled maintenance. The Provider reserves the right to modify or discontinue any part of the Service with 30 days' notice.
The Provider may terminate or suspend access immediately if the Customer breaches these Terms, fails to pay subscription fees, or if required by law. Upon termination, all licences granted under these Terms will immediately cease.
These Terms shall be governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales.
These Terms, together with the Privacy Policy, constitute the entire agreement between the parties. The Provider may update these Terms with 30 days' notice. Continued use constitutes acceptance of updated Terms.
